Article I – Name
The name of the organization shall be the Young Republican National Federation, Inc. hereinafter referred to as the YRNF.
Article II – Purpose
Section 1 – The purpose of the YRNF shall be to elect Republicans throughout the United States, its territories and possessions.
Section 2 – The purpose of the YRNF is to develop a nationwide movement of intelligent, aggressive, professional and effective Young Republicans through education and training.
Section 3 -The YRNF may not participate in Republican primaries or any intra-elections of the Republican Party at the local, state, and national levels.
Section 4 – The purpose of the YRNF is to support the principles, objectives and platform of the Republican Party.
Section 5 – The purpose of the YRNF is to direct, manage, supervise, and control its business, property, and funds and to do all other things necessary to carry out its objectives.
Section 6 – The purpose of the YRNF is to create, charter, supervise, and coordinate State organizations of Young Republicans throughout the United States of America, its territories and possession.
Article III – Membership
Section 1 – Members of the YRNF shall be members in good standing of a duly chartered Young Republican State Organization between and including the ages of 18 and 40, unless a more restrictive standard is set by the state organization.
Section 2 – State Charters
a) The YRNF may issue charters to states, districts, territories and possessions of the United States, herein after referred to as states. The State Organization issued the charter shall be granted representation privileges on the National Committee and at Conventions. There shall be only one charter issued per state, and no other petition for charter may be considered for a state that has an existing charter.
b) The procedure for issuing and maintaining a charter shall be established in the Bylaws.
Section 3 – State Organizations
a) State Organizations shall have sole authority within their state provided they don’t conflict with the YRNF Constitution and/or Bylaws.
b) No rule or action shall be made to grant special privileges or immunities to any State Organization.
c) The National Officers of the State Organization shall be the Chief Executive Officer and one National Committeeman and one National Committee woman. They shall be elected at a convention of the State Organization, and any vacancy thereof shall be filled in a manner determined by the State Organization.
d) State Organizations must meet each year, at such time(s) and place(s) as prescribed in its Constitution and/or By-Laws.
e) State Organizations shall have the power and authority to charter Young Republican organizations located within that state’s geographical boundaries.
Article IV – Elected Officers
Section 1 – The elected officers of the YRNF shall be the Chairman, Co-Chairman, Vice-Chairman at-Large, Secretary, Treasurer, Auditor, Assistant Secretary, Assistant Treasurer, and one Regional Vice-Chairman for each region.
Section 2 – Eligibility
a) Elected officers shall have been a member in good standing for at least one year of a State Organization and shall continue as an active participant in a chartered State Organization throughout his or her term.
b) The Chairman and Co-Chairman shall have been a member of the National Committee or the second highest state officer of a duly chartered State Organization for at least six months immediately preceding assuming office.

c) All officers shall serve without compensation for services.
Section 3 – The elected officers shall assume office at the close of the convention at which they are elected, and shall serve until the close of the next convention or until their successor assumes office. The Chairman and Co-Chairman shall not serve more than one term in the same office. All other officers shall not serve more than two terms in the same office.
Section 4 – In the case of a vacancy in the office of the Chairman, the Co-Chairman shall serve as
Chairman for the remainder of the term. A vacancy in any other office shall be filled by the National Committee, notice of which shall be provided to the National Committee at least forty-five (45) days prior to the meeting at which the vacancy will be filled.
Article V – Executive Committee
Section 1 – The Executive Committee shall be made up of the Elected Officers and the Chairman of the State Chairman’s Association.
Section 2 – The Executive Committee shall exercise authority over the day-to-day operations of the YRNF except where in conflict with the Convention, National Committee, Constitution, and/or Bylaws.
Section 3 – The Executive Committee may prescribe the format and the manner in which the information described in the YRNF Constitution, By-Laws, and other rules and resolutions adopted by the YRNF National Committee is reported.
Section 4 – Meetings of the Executive Committee shall be called by the Chairman or by any five (5) members of the Executive Committee. Notice shall be sent with at least seventy-two (72) hours notice if meeting is by conference call, or thirty (30) days notice if meeting is in person.
Section 5 – For purposes of District of Columbia ST § 29-301.02, the Executive Committee shall constitute the board of directors.
Article VI – National Committee
Section 1 – The National Committee shall be composed of the Elected Officers, State Organization National Officers, Standing Committee Chairmen, and the Regional Directors from each region.
Section 2 – The National Committee shall govern the YRNF in all matters except where in conflict with the Convention, Constitution and/or Bylaws.
Section 3 – The National Committee shall meet upon the call of the Chairman or by a petition signed by thirty-five (35) members of the National Committee. Notice of all meetings shall be mailed to all members of the National Committee at least forty-five (45) days prior to the meeting.
Section 4 – The quorum of the National Committee for amendment to Bylaws, discipline of Elected Officers or State Organizations, or charter revocations shall be a majority of the members. The quorum for all other business of the YRNF National Committee shall be one-third (1/3) of the members.
Article VII – Regions
Section 1 – The regions of the YRNF shall be those regions as defined by the rules of the RNC at the time of the YRNF Convention. Each region shall be divided into two (2) districts, which shall not divide a state.
Section 2 – Each region shall have a Regional Council comprised of:
a) the Regional Vice-Chairman
b) two (2) Regional Directors
c) the State Organization National Officers for each state in the Region
d) the YRNF elected officers who may reside within the Region.
Section 3 – Each Regional Council shall elect its Directors, who shall not be from the same state of the Regional Vice-Chairman or another director, but must reside within the district they represent. Directors shall not require confirmation by the National Committee or Convention and shall serve until their successors are elected.
Article VIII – Committees
Section 1 – The Standing Committees shall be established in the Bylaws.
Section 2 – The Chairman shall appoint the Chairmen and Co-Chairmen of the Standing Committees, unless otherwise prescribed, with the approval of the National Committee at the first duly convened National Committee meeting of each biennium. All reports of committee membership must be submitted at the next Fall National Committee Meeting for approval by the National Committee. If appointments are not made and/or reported, the National Committee shall make the appointments. Each region shall be represented on Standing Committees.
Section 3 – The Standing Committees shall report to and take instructions from the National Committee, and the YRNF Chairman shall oversee general activities between National Committee meetings.
Section 4 – Standing Committee Chairmen shall serve until the adjournment of the following Convention, or upon their resignation, or until replaced by the Chairman with approval from the
National Committee.
Section 5 – The Chairman, National Committee or Convention may appoint ad-hoc committees as necessary.
Section 6 – The National Chairman and Co-Chairman shall be ex-officio members of all standing and ad-hoc committees.
Article IX – Administration
Section 1 – The National Headquarters shall be in Washington D.C., or surrounding area.
Section 2 – The Executive Committee shall have administrative authority over YRNF Staff, including employees, subject to the approval of the National Committee.
Section 3 – The Chairman is authorized to appoint an Executive Director, a Deputy Executive Director, a Finance Director, a Political Director, a Parliamentarian, the Chairman of the Club Chairman’s Association, and any and all legal counsel, who shall serve at the pleasure of the Chairman. The Executive Committee may by rule provide for the description of the duties and qualifications of each appointed authorized under this Section.

Section 4 – The Chairman may appoint other appointees as deemed necessary, provided that the National Committee approves the creation of the position and the Executive Committee confirms the appointee to the position. When such positions are proposed to the National Committee, the proposal must include the office’s role, authority, responsibility, and to whom the office is accountable. Each created position must be reauthorized annually at the Fall National Committee Meeting,
Section 5 – The compensation of all employees shall be set by the Executive Committee with approval from the National Committee at the next duly convened National Committee meeting.
Section 6 – Appointees shall serve without compensation for services, unless designated as an employee pursuant to the requirements of Section 5 of this Article.
Section 7 – The YRNF may with the approval of the Executive Committee enter into contract with parties to provide services for the YRNF. The proposal to the Executive Committee must include the name of the other party or parties, the length of the contract, and the terms of compensation.
Article X – Conventions
Section 1 – Conventions shall be held every two (2) years between June 1st and July 31st in odd numbered years at a time and place to be fixed by the National Committee. Notice of the Convention shall be mailed to the National Committee, including the time and place, sixty (60) days prior to the Convention.
Section 2 – Each State Organization in good standing shall be entitled to four (4) delegates, plus one (1) bonus Delegate for each Elected Officer who was a resident of that state at the time of their election, plus one (1) additional delegate for each 75,000, or major fraction thereof, votes cast for the Republican candidate for President in that State in the last preceding US Presidential General election. Alternates may be elected.
Section 3 – The Secretary shall transmit to each State Organization the number of delegates they are entitled no later than April 30th the year of the Convention. The number of delegates to which each state is entitled shall be available for inspection from the Secretary upon request. The State Organizations shall transmit to the Secretary a list of delegates and alternates twenty (20) days prior to the Convention.
Section 4 – Each delegate shall be entitled to at least one vote. Delegations may vote by unit rule as authorized by their State Organization.
Section 5 – Each Convention shall establish their own Standing Rules and shall not be bound by any standing rules of prior conventions.
Section 6 – Quorum for the Convention shall be a majority of the delegates present.
Section 7 – State Organizations may provide in their Constitution and/or By-Laws for the method of, and the qualifications for, selecting their Delegates and Alternates to the Convention. In the absence of such provision, the Board of Directors or corresponding governing body of the chartered State Organization shall fix the method of and qualification for selection.
Section 8 – A credentialed parliamentarian (as recognized by the American Institute of Parliamentarians or National Association of Parliamentarians) shall be contracted by the YRNF and be present at the Convention to ensure unbiased procedures. This individual shall have no connections, including but not limited to business other than the contract to serve at the Convention, familial and personal, to the YRNF or its past or present membership.
Article XI – Communications

Section 1 – Executive Committee and Standing Committee meetings by telephone conference are allowed so long as all members have simultaneous aural communication.
Section 2 – In all cases that are required for receiving of reports, use of mail, facsimile transmission, or e-mail may be used.
Section 3 – In all cases that are required for notice, the use of e-mail, mail, or facsimile transmission may be used. All notices shall also be posted on the official YRNF Website.
Article XII – Disciplinary Procedures
Section 1 – Any member may be expelled, any state’s charter may be revoked, and any officer may be removed by a two-thirds (2/3) vote of the National Committee or majority vote of a Convention. Petition for, must be made by five (5) National Committee members not from the same state with prior notice and reasons for action of no less than thirty (30) days sent to the member or state in question. This action may only be taken upon the recommendation of a hearings committee. Reinstatement may be with a majority vote of the Convention if enacted by the National Committee.
Article XIII – Parliamentary Authority
The parliamentary authority shall be the current edition of Robert’s Rules of Order Newly Revised. It shall govern the YRNF where it is not inconsistent with the governing documents of the YRNF.
Article XIV – Bylaws
Section 1 – Bylaws not inconsistent with this Constitution shall be adopted and may be amended by a two-thirds (2/3) vote of the National Committee or by a majority vote of the Convention.
Section 2 – Any member of the National Committee may propose amendments and shall send such amendments to the Secretary at least forty-five (45) days prior to the venue in which the amendment is to be considered.
Section 3 – Notice of amendments shall be sent to the National Committee at least thirty (30) days prior to the meeting to be considered. The proposed amendment may indicate which body to be considered at.
Article XV – Amendments
Section 1 – The Constitution may be amended by a two-thirds (2/3) vote of the Convention. Notice of amendments shall be sent to the National Committee at least thirty (30) days prior to the Convention.
Section 2 – Any member of the National Committee may propose amendments and shall send such amendments to the Secretary at least forty-five (45) days prior to the opening date of the Convention.
