ARTICLE I. ORGANIZATION
The Montana Republican Young Professionals (MRYP) is the chartered member organization of the Young Republican National Federation for the State of Montana. The MRYP shall comply with all requirements of that charter and agrees to be bound by all things by the YRNF Constitution and YRNF Bylaws. The MRYP shall be designated as the “Montana Young Republicans” for purposes of the rules duly adopted by the Montana Republican Party. The MRYP shall also be registered with the Montana Commissioner of Political Practices as a political party committee.
ARTICLE II. OBJECTIVES
The stated objectives of the MRYP are:
- to develop a statewide movement of intelligent, aggressive, and productive Young Republicans whose objective is to educate and train individuals in electing Republican candidates;
- to support the principles, objectives and platform of the Republican Party; and
- through volunteer activities, to secure the election of all Republican candidates.
The MRYP will not issue any endorsements in a primary election unless there is only one Republican candidate following expiration of the filing deadline.
ARTICLE III. MEMBERSHIP
Membership in MRYP shall be open to all Republican Montana residents ages 18 to 40, inclusive, who are members of chartered Republican Young Professionals clubs in Montana. Qualified individuals who live in a county without a chartered Republican Young Professionals club may join as at-large members by paying individual dues as set forth in the MRYP Bylaws. Membership shall similarly be open to Montana Republican voters who are living out-of-state and are members of a chartered Republican Young Professionals Club or are at-large members as set forth in the MRYP Bylaws.
ARTICLE IV. CLUBS
SECTION 1. Organization. Each chartered Republican Young Professionals club shall be entitled to participate in the activities provided by the MRYP and is subject to the terms of the MRYP Bylaws.
SECTION 2. obligations. Each chartered Republican Young Professionals club shall pay a membership fee to the MRYP as outlined in the Bylaws, and shall have a roster of at least four members, all of whom are Republican Young Professionals.
SECTION 3. CHARTERING. The Executive Committee shall approve the granting and revoking of charters subject to the terms of the MRYP Bylaws.
ARTICLE V. OFFICERS
SECTION 1. ELECTED OFFICERS. The elected officers of the organization shall be the following: Chairman, Vice Chairman, Secretary, Treasurer, National Committeeman, National Committeewoman and three Directors. The Chairman shall also serve as the Chief Executive Officer for purposes of the YRNF Constitution.
SECTION 2. ELIGIBILITY FOR OFFICE. Any at-large member of the MRYP or any member of any Republican Young Professionals club, being between the ages of 18 and 40, inclusive, shall be eligible to hold office in the MRYP.
SECTION 3. DUTIES OF OFFICERS.
- Chairman. Except as otherwise provided in this Constitution, the Chairman of the organization shall preside at all meetings and appoint all standing and ad hoc committees and committee chairmen, all of whom shall serve at the pleasure of the Chairman of the organization or until the adjournment of the next annual meeting. The Chairman shall be an ex-officio member of all committees and shall call meetings of the Executive Committee.
- Vice Chairman. The Vice Chairman shall perform such duties as the Chairman of the organization may designate and, in the absence of the Chairman, the Vice Chairman shall preside over meetings.
- Secretary. The Secretary shall make and keep a true record of the proceedings of all meetings of the organization, keep the records and conduct the correspondence of the organization.
- Treasurer. The Treasurer shall be charged with raising funds to implement MRYP’s stated objectives; collecting dues; maintaining accurate financial records; filing requisite forms and reports with the Montana Commissioner of Political Practices’ Office; and submitting a report of the organization’s financial condition at the annual meeting of the organization or at any other such time the Chairman or other Executive Committee member requests a report.
- National Committeeman and Committeewoman. The National Committeeman and National Committeewoman shall represent the MRYP to the YRNF and serve on its national committee, and they shall perform such other duties as the Chairman may designate.
- Directors. Directors shall serve on the Executive Committee and provide leadership for programs at the request of the Chairman. No more than two of the three directors shall reside in the same county.
SECTION 4. ELECTION OF OFFICERS. Eligible candidates for the above positions shall be nominated and elected by the delegates at the annual meeting.
SECTION 5. VACANCIES IN OFFICE. Any vacancy created in one of the above offices of the organization, except Chairman, by resignation of the officer or by any other cause shall be filled by appointment of the Executive Committee of the organization within thirty (30) days following the vacancy. A vacancy in the office of Chairman shall be filled by the Vice Chairman. A vacancy in both offices shall be filled by a two-thirds (2/3) vote of the Executive Committee within thirty (30) days.
SECTION 6. REMOVAL FROM OFFICE. For dereliction of duty, gross misconduct, dishonoring the MRYP or other appropriate causes, any officer may be removed by a two-thirds (2/3) vote of the Executive Committee.
SECTION 7. STEERING COMMITTEE. The Executive Committee shall appoint a Steering Committee, which shall consist of three (3) members, to direct the advocacy and policy development strategies of MRYP. The Steering Committee shall report to the Executive Committee at its quarterly meetings.
ARTICLE VI. MEETINGS
SECTION 1. Annual Meeting. The annual meeting of the organization shall be held at a time, place, and date to be determined by the Executive Committee. In the event that the Executive Committee shall fail to select a place for the annual meeting, the Chairman of the organization shall select the place of the annual meeting.
SECTION 2. Notice. The Secretary shall give at least thirty (30) days written notice of the time and place of the annual meeting to all Executive Committee members, the chairmen of Republican Young Professionals clubs, and any at-large members.
SECTION 3. Elections. The Executive Committee may provide a list of nominees for the offices of Chairman, Vice Chair, Secretary, Treasurer, National Committeeman, National Committeewoman and Director. The delegates may also nominate candidates from the floor. Candidates for office shall be elected by majority vote at the annual meeting of the organization.
SECTION 4. Reports. Official reports covering the previous year’s activities shall be presented by the officers at the annual meeting.
SECTION 5. Voting. Each chartered Republican Young Professionals club may send delegates to the annual meeting, and delegates shall be entitled to cast votes based on the following restrictions. Delegates from each county shall be allotted the number of votes to cast equal to the number of votes cast in that county for the Republican Candidate for Governor at the last preceding gubernatorial election, and the number of votes shall be divided up as equally as possible amongst the delegates from said county. At-large members from counties with no chartered clubs may attend as delegates and have the same voting privileges.
SECTION 6. Restrictions on Voting. No delegate shall be allowed to cast more than two thousand (2,000) votes at the annual meeting.
SECTION 7. Proxies. There shall not be voting by proxy, substitution or absentee ballot, and all delegates shall be registered with the Secretary of the organization as a member of the club the delegate is representing, as prescribed in Article III and Article IV.
SECTION 8. Challenge. A delegate’s or delegation’s right to vote may be challenged by any member of the Executive Committee. If such a challenge is issued, then members of the Executive Committee present at the annual meeting shall hear the case and shall decide each delegation’s or delegate’s right to vote.
SECTION 9. Parliamentary Rules. Annual meetings shall be conducted according to Robert’s Rules of Order, Revised (Latest Edition). All other matters not specifically covered by this Constitution or the Bylaws shall be resolved by the Chairman with the advice and consent of the Executive Committee.
ARTICLE VII. AMENDMENTS
This Constitution, the MRYP Bylaws or any provision thereof may be amended by a two-thirds (2/3) vote of the delegates at the annual meeting where such proposed action has been announced in the call and notice of the meeting.
ARTICLE VIII. FISCAL YEAR
The fiscal year of the MRYP shall be from January 1 until December 31 for all purposes including but not limited to payment of dues and charter fees.
ARTICLE IX. EXECUTIVE COMMITEE
SECTION 1. MEMBERSHIP. The Executive Committee shall consist of the following: Chairman, Vice Chairman, Secretary, Treasurer, at large directors and any and all members of the MYRL who are on the YRNF Executive Committee.
SECTION 2. NOTICE. Notice shall be given to all Executive Committee members of any meeting at least five (5) days prior to the meeting. Notice can be provided by email, telephone, or mail.
SECTION 3. MEETINGS. The Executive Committee shall meet at least four (4) times a year in person or through video conferencing or conference telephone calls. If the Chairman fails to call a quarterly meeting for two consecutive quarters, the Vice Chairman may call a meeting. The act of the majority of the Executive Committee members present at a meeting shall be the act of the Executive Committee.
ARTICLE X. YOUNG REPUBLICAN NATIONAL FEDERATION CONVENTION
Delegates to the YRNF Convention shall be selected from among the members and elected officers of the organization. The Executive Committee shall designate the delegate or alternate status of each person mentioned above and shall appoint the Chairman or another member to be in charge of the delegation. Vacancies in the delegation shall be filled and status designated by the Chairman.
