ARTICLE I – APPLICATION FOR CHARTERING STATE YOUNG REPUBLICAN ORGANIZATIONS
Section 1 – A single State Young Republican organization may be chartered in each State of the United States.
Section 2 – Application for Recognition as a State Organization by the YRNF shall be made by petition to the National Committee. The format and content of the petition shall be specified by the Executive Committee and consistent with the following:
a) The petitioning state shall provide a listing of names, addresses, telephone numbers, electronic mail addresses, and birth dates of prospective Young Republicans who desire to organize a state organization. Petitioning Young Republicans must reside in the state in which they petition to organize a state organization and shall meet the eligibility requirements of the YRNF as set forth in the Constitution. The number of Young Republicans required shall be based on population of the state as reported in the most recent decennial census of the United States as follows:

i. Fifty (50)Young Republicans required are required of petitioning states with populations of 500,000 of fewer residents,
ii. Seventy-five (75) Young Republicans are required of petitioning states with populations greater than 500,000 but less than 1,000,000 residents, and
iii. One hundred (100) Young Republicans are required of petitioning states with populations of 1,000,000 or more residents.
b) The petitioning organization shall certify that:
i. It has adopted governing documents consistent with the provisions of the Constitution and these Bylaws and that it has provided true and accurate copies of the same as part of its petition;
ii. It has elected its officers consistent with its governing documents and provided to the YRNF the names, addresses, telephone numbers, electronic mail addresses, and birth dates, of all Young Republicans; and
iii. It has held at least one meeting as an organized, statewide body.
c) The Executive Committee shall report any approved and required petitioning forms to the National Committee upon their adoption or amendment. Such forms shall be made available upon the request of a prospective state organization. Forms previously issued prior to amendment by the Executive Committee shall remain valid until the next scheduled meeting of the National Committee.
Section 3 – Evaluation of Charter Petitions
a) Upon receipt of a petition from a prospective state organization, the State Chartering Committee shall verify compliance with Section 2 and may evaluate the viability of the prospective state organization considering additional factors including but not limited to:
i. The ability of the organization to effectively conduct its affairs and serve the needs of all Young Republicans within the state;
ii. Whether a state organization has been previously chartered in that state and the length of time since its charter was resigned or forfeited;
iii. The degree of cooperation and communication with the petitioners and their state party leadership and elected Republican leaders; and
iv. The political, organizational, or leadership experience of the leaders of the petitioning organization.
b) The State Chartering Committee shall report to the National Committee at the next scheduled meeting of the National Committee whether the petition meets the requirements of Section 2 and whether it recommends the petitions approval. Petitions that fail to meet the requirements of Section 2 shall be returned to the petitioner with specific deficiencies identified by the State Chartering Committee.
Section 4 – Renewal of State Organization Charter
a) Each State Organization shall submit to the YRNF Secretary no later than March 31 of each year a petition for renewal of its charter with the YRNF. The format and manner of the renewal process shall be determined by the Executive Committee, but in all cases, each state organization must annually provide:

i. A current list of its officers together with their titles, a current list of its clubs and their principle officer, a current list of its entire state membership including the name, address, telephone number, and electronic mail address of each member of any state chartered club; and
ii. Documentation demonstrating that at least one member of the National Committee from such state was in attendance at each National Committee meeting during the previous year.
b) Penalties
i. A state organization that fails to be represented at all meetings of the National Committee during the previous calendar year by its chief executive officer, National Committeeman, or National Committeewoman, or their designated proxy, shall be assessed, as a condition of its renewal membership, a fee of $100.
ii. A state organization that fails to comply with the provisions of this section on or before March 31 shall be assessed, as a condition of its renewal membership, a fee of $100.
iii. A state organization that does not comply with the provisions of Section 4(a) on or before April 30 shall forfeit its membership in the YRNF.
iv. A state organization that does not remit any assessment imposed under this section on or before the next National Committee meeting shall forfeit its membership in the YRNF.
ARTICLE II – CANCELLATION OF CHARTERS
Section 1 – The Young Republican National Committee, at any duly convened meeting, may consider the outcome of any dispute resolved in accordance with the procedures established by Article XV – Dispute Resolution Procedure, or the failure of any party (or parties) to a dispute to participate in such proceedings or to accept the result of any final decision arising in accordance with such provisions, and as a result of any such outcome or failure may revoke the charter of, or otherwise discipline, any State Young Republican organization by a two-thirds (2/3) vote of the Young Republican National Committee.
Section 2 – If the YRNF shall revoke the charter of, or otherwise discipline any State Young Republican organization, the Secretary of the YRNF shall immediately send a notice of such action by registered mail to the last reported Chief Executive Officer and Secretary of said State Young Republican organization and the Chairman of the State Republican organization from the same State.
Section 3 – Any chartered State Young Republican organization may resign from the YRNF, provided that a resolution of resignation shall have been adopted and approved by three-fourths (3/4) of the members and the Chief Executive Officer and Secretary of said State Young Republican organization. Such resignation shall become effective when accepted by the Young Republican National Committee.
Section 4 – Any State Young Republican organization which shall for any reason cease to be a chartered group of the YRNF shall surrender its charter and shall not thereafter use the name, emblem or insignia of the YRNF in any manner whatsoever.
ARTICLE III – REGIONS AND DISTRICTS
Section 1 – The alignment of regions shall be changed at each Convention to be in accordance with the regions established by the Republican National Committee.
Section 2 – Each region shall be divided into two districts. Districts shall be drawn and approved by the Regional Councils at their meetings at the Convention after the election of Regional Directors. No District may split a state. Districts shall be assigned and numbered as follows:

a) Western States Regions: District 1 and District 2;
b) Midwestern States Region: District 3 and District 4;
c) Northeastern States Region: District 5 and District 6;
d) Southern States Region: District 7 and District 8.
Section 3 – The Regional Directors shall assist the Regional Vice-Chairman in carrying out their duties.
ARTICLE IV – QUALIFICATIONS FOR OFFICE AND VOTING PRIVILEGES
Section 1 – To serve on the Young Republican National Committee, hold office in the YRNF or serve as a Delegate or Alternate to a YRNF Convention, an individual must be a member of a State Young Republican organization duly chartered under Article V of this Constitution, be between the ages of 18 – 40, inclusive, and be registered to vote in a State, District, Territory, or Possession of the United States of America.
Section 2 – No person shall cast more than one vote on the Young Republican National Committee.
ARTICLE V – DUTIES OF OFFICERS
Section 1 – Chairman
a) The Chairman shall preside at all conventions and at all meetings of the Young Republican National Committee. He or she shall be the Chief Executive Officer of the YRNF and shall exercise general supervision over the work and activities of the YRNF. He or she shall perform such other duties as usually pertain to the office of the Chairman. Any positions that are herein appointed by the Chairman shall serve at the pleasure of the Chairman and may be removed at any time, with or without cause, at the Chairman’s sole discretion.
b) The Chairman of the YRNF, with the advice of the Young Republican National Committee, is authorized and given continuing authority, unless and until revoked by a subsequent Young Republican National Convention, to conduct the affairs of the YRNF in accordance with all applicable laws and regulations.
Section 2 – Co-Chairman
a) The YRNF Co-Chairman shall act as Assistant to the Chairman, and shall perform such duties as directed by the Chairman.
b) In the event the Chairman is temporarily absent or unable to perform his or her duties, the Co-Chairman shall preside and perform the duties of the Chairman.
c) In the event both the Chairman and the Co-Chairman are unable to perform their duties, said duties shall be discharged in the interim by the following officers in the order listed: Vice-Chairman at-Large, Secretary, Treasurer, Auditor, Assistant Secretary, Assistant Treasurer.
Section 3 – Vice-Chairman At-Large
The YRNF Vice Chairman At-Large shall supervise and coordinate the activities of the Regional Vice-Chairmen, working to ensure active participation from all Regions in YRNF activities.

Section 4 – Secretary
The YRNF Secretary shall be the recording and correspondence officer of the YRNF. The Secretary shall perform such additional duties as are assigned to him or her by the Chairman. He or she shall attend all meetings of the Young Republican National Committee and all conventions of the membership of the YRNF and shall act as Secretary thereof.
Section 5 – Treasurer
a) The Treasurer shall receive and account for the funds of the YRNF under the supervision and direction of the Young Republican National Committee.
b) The Treasurer shall make an annual financial report to the Young Republican National Committee. The Treasurer shall submit a budget for each fiscal year at the Fall National Committee Meeting of the prior fiscal year, subject to approval by the National Committee at the same meeting. Notice of the proposed budget, including a copy of the proposal, shall be sent to the National Committee at least forty-five (45) days prior to the meeting.
c) The Treasurer shall attend all meetings and Conventions of the membership of the YRNF. The Treasurer may be required by the Young Republican National Committee to give bond for the faithful discharge of his or her duties in such sum as may be required by the Young Republican National Committee, the costs of such bond to be borne by the YRNF.
d) The Treasurer shall disperse YRNF funds, as directed by the YRNF Chairman in accordance with the budget approved by the National Committee, except that
i. the YRNF Executive Director may make disbursements of less than one thousand, two hundred dollars ($1,200), including aggregate disbursements for the same purpose in any four month period, as directed by the YRNF Chairman in accordance with such budget, provided that such disbursements may not be payable to the YRNF Chairman, Executive Director, or as cash;
ii. disbursements in excess of five thousand dollars ($5,000) may be made only by the Chairman and Treasurer, acting jointly.
Section 6 – Auditor
a) The YRNF Auditor shall be responsible for engaging an independent firm to conduct a review of the financial records of the YRNF for each fiscal year that ends during the Auditor’s term of office. The report of the review will be presented by the Auditor for approval by the National Committee at its meeting just prior to the Convention of the YRNF.
b) The review required by Section 7(a) shall be either a either a certified audit of the books and records of the YRNF, in accordance with Generally Accepted Auditing Standards, for all YRNF accounts, or an agreed upon procedures engagement to assess the controls over cash and the appropriateness of receipts and disbursements.
c) The Young Republican National Committee shall approve the appointment and expenses of any person, business, corporation, firm or entity selected by the auditor to perform said review.

d) The Young Republican National Committee may authorize the Auditor to engage an independent firm to conduct a review of additional previous fiscal years.
e) The auditor shall be responsible for coordinating YRNF policy and programs concerning insurance, risk management and liability.
Section 7 – Assistant Secretary
In the absence of the YRNF Secretary, the YRNF Assistant Secretary shall perform the duties of the Secretary. The YRNF Assistant Secretary shall perform such additional duties as are assigned to him or her by the Chairman.
Section 8 – Assistant Treasurer
The YRNF Assistant Treasurer shall be a member of the Finance Committee and shall work with the Finance Committee, the Chairman and the Treasurer to develop, direct and implement fundraising plans of the YRNF. The YRNF Assistant Treasurer shall perform such additional duties as are assigned to him or her by the Chairman.
Section 9 – The Regional Vice-Chairman shall be responsible for the following:
a) To provide help with chartering un-chartered states.
b) To assist states with compiling and sending in their annual state surveys.
c) To preside over the Regional Council meeting at Conventions to elect the Directors.
d) To carry out the objectives and mission of the YRNF.
e) To compile a list of Committeemen, Committeewomen and Chief Executive Officers.
f) To build a working relationship between GOP groups within the region and the YRNF.
g) To plan a Regional Caucus meeting.
h) To provide a first forum of coordinating campaign and grassroots activities.
i) To make a regional report at National Committee meetings.
j) To promote National Committee meetings so that quorum can be achieved.
Section 10 – Each officer shall perform such duties as are prescribed by the Constitution and By-Laws. The Chairman may from time-to-time prescribe other duties to the officers.
Section 11 – Each officer and regional director must attend all meetings of the National Committee. If an officer or regional director fails to attend two meetings of the National Committee and does not provide the Chairman of the YRNF with an adequate reason for such absences, the officer or regional director shall forfeit his or her office. A decision by the Chairman may be appealed to the National Committee. A replacement for an officer shall be selected in accordance with Article VI of these By-Laws. A replacement for a regional director shall be selected by the respective regional council.

ARTICLE VI – TENURE OF OFFICERS
Section 1 – Officers of the YRNF shall be elected at each duly constituted biennial Convention of the YRNF and shall hold office until their duly qualified successors are elected.
Section 2 – Any officer of the YRNF may submit a written resignation to the Secretary of the YRNF and such resignation shall become effective at the expiration of thirty (30) days from the date of receipt unless accepted sooner by the Young Republican National Committee.
Section 3 – In the event both the Chairman and Co-Chairman shall resign, be removed from office or be permanently unable to discharge the duties of their offices, the following officers, in the order listed, shall serve as interim Chairman until the vacancy is filled as provided in Section 4 of this Article: Vice-Chairman At-Large, Secretary, Treasurer, Auditor, Assistant Secretary and Assistant Treasurer.
Section 4 – In the event both the Chairman and Co-Chairman positions are vacant, the position of Chairman shall be elected by the National Committee at its next meeting. Such an election shall be consistent with the processes outlined in Article X, Section 4. The successor shall serve the remainder of the term to which his or her predecessor was elected.
Section 5 – In the event of a vacancy in an office of the YRNF other than Chairman, the Chairman is authorized to appoint any Young Republican to act as that officer and carry out that officer’s duties on an interim basis subject to the approval of the Executive Committee. Such vacancies shall be filled on a permanent basis according to Article IV, Section 4, of the Constitution.
ARTICLE VII – YOUNG REPUBLICAN NATIONAL COMMITTEE
Section 1 – The Young Republican National Committee shall exercise general control and supervision over all officers and committees of the YRNF. The Young Republican National Committee may, after a hearing, remove any YRNF officer upon a two-thirds (2/3) vote of the Young Republican National Committee; provided, however, that such officer shall have been sent by the Secretary or Assistant Secretary of the YRNF, by registered mail, a notice containing a copy of the charges against him/her at least thirty (30) days prior to the hearing thereon, with said notice specifying the time and place of such hearing. A copy of said notice shall be mailed to members of the Young Republican National Committee.
Section 2 – The Young Republican National Committee shall meet just prior to each Convention of the YRNF and the day following the YRNF Convention and at such other times and places as may be desired.
Section 3 – Proxy Voting
a) A State Chairman, National Committeeman or National Committeewoman may designate a member of his or her state federation to act as his or her proxy for any meeting of the National Committee.
b) A valid proxy shall contain the name of the National Committee member who is issuing the proxy, the name of the individual who will execute the proxy, the meeting for which the proxy is conferred, any instructins or limitations as to its execution, and bear the witnessed signature of the absent National Committee member. The proxy or a copy thereof shall be in the physical possession of the person who will be executing the proxy and shall be surrendered to the Secretary at the meeting of the National Committee.
c) A copy of said proxy should be transmitted directly to the Secretary of the YRNF no later than seven (7) days prior to the date of the National Committee meeting for which it is

effective. The National Committee may by two-thirds (2/3rds) vote accept a proxy that was not transmitted seven (7) days prior to a National Committee meeting.
d) If a Standing Committee Chairman is absent for a meeting of the National Committee, the Co-Chairman of the same Standing Committee may vote instead of the Standing Committee Chairman.
e) A proxy accepted by the National Committee shall be valid for the corresponding Regional Council Meetings.
f) No individual by virtue of proxy may cast more than one vote on any question before the National Committee. No individual may execute a proxy for more than one member of the National Committee at any given meeting.
ARTICLE VIII – QUORUM
At any duly convened meeting of the Young Republican National Committee, for purposes of consideration of an appeal of a final decision in accordance with Article XVII, Section 1(g), quorum shall be a majority of the members of the National Committee.
ARTICLE IX- CONVENTIONS
Section 1 – The Secretary of the YRNF shall mail a notice of the time and place of the Convention to the Secretary of each duly chartered State Young Republican organization and to the members of the Young Republican National Committee at least sixty (60) days prior to the date of the Convention. If such notice is not mailed by the Secretary, the Secretary shall be deemed absent, as provided by Section 8 of Article V – Duties of Officers, and the Assistant Secretary shall mail such notice at least forty-five (45) days prior to the date of the Convention.
Section 2 – The Young Republican National Committee shall have supervision and management of all Conventions of the members of the YRNF and shall fix the official program and order of business.
Section 3 – The officers of each Convention shall be the officers of the YRNF.
Section 4 – At each duly called Convention, or prior thereto, the Chairman shall appoint a Sergeant-At-Arms of the Convention and such assistants as he or she may deem necessary or advisable.
Section 5 – Prior to each duly called Convention, the Chairman shall appoint a Committee on Rules and a Committee on Platform and such additional committees as he or she shall deem advisable. The Chairman shall appoint a Committee on Credentials, the procedure for determination of which shall be approved by the YRNF National Committee at the first duly convened meeting following the preceding Convention. Except for those Convention Committees which are also Standing Committees of the YRNF, the membership and composition of all Convention Committees shall be approved by the National Committee during its Winter Meeting immediately prior to each Convention.
Section 6 – Prior to each YRNF Convention, each duly chartered State Young Republican organization shall select its Delegates in accordance with the YRNF Constitution and these By-Laws. Alternates may be selected, but an Alternate shall not be entitled to vote, except in the absence of the person for whom he or she is designated an Alternate. The Chief Executive Officer of the duly chartered State Young Republican organization may assign specific alternates for specific delegates. In the absence of specific designation, the delegation chairman may assign an alternate delegate to replace an absent delegate on the floor of the Convention unless

prohibited by his/her state Constitution and/or By-Laws. State Organizations shall certify to the YRNF Secretary twenty (20) days prior to the Convention that the selection of said Delegate and Alternates was made in compliance with the State organization’s Constitution and By-Laws.
Section 7
a) Decisions shall be by a majority of those present and voting, unless otherwise required by the Constitution and By-Laws of the YRNF.
b) Each accredited Delegate, present or represented by a duly qualified Alternate, shall be entitled to vote as follows:
i. If the number of accredited Delegates present or represented by duly qualified Alternates is less than or equal to one-half (1/2) of the total votes to which a State delegation is entitled at the time the role is called for the State, each person entitled to vote may cast one (1) votes.
ii. If the number of accredited Delegates present or represented by duly qualified Alternates exceeds one half (1/2) of the total votes to which a State delegation is entitled at the time the roll is called for the State, each person is entitled to vote a proportionate vote which shall be equal to the total number of votes to which the State delegation is entitled divided by the number of the State’s Delegates or duly-qualified Alternates personally present who are entitled to vote.
Section 8 – No resolution shall be in order on the floor of the Convention until it has been reported out by the Committee on Resolutions, unless such resolution is offered in writing and is seconded by a majority of delegates from states in three different regions.
Section 9 – Except those motions cited in Robert’s Rules of Order as non-debatable, all motions, communications to the Convention, reports of Committees including those resolutions presented by the Committee of Resolutions may be debated upon the floor of the Convention, unless by a two-third (2/3) vote, the Convention decides to dispose of them without debate. No Delegate shall address the Convention for longer than five (5) minutes at one time, except as provided in the orders of the day or by a majority vote of the Convention.
ARTICLE X – OFFICIAL PROGRAM AND THE ELECTION OF OFFICERS
Section 1 – The official program of the biennial Convention shall provide for the following items of business: Report of Committee on Credentials; Report of the Committee on Resolutions; Report of the Committee on Constitution and By-Laws; Report of the Committee on Rules; Report of the Committee on Platform; and Nominations and election of officers.
Section 2 – Nominations for the elective officers shall be made from the floor of each duly constituted biennial Convention.
Section 3 – Officers shall be elected in the following order: Chairman, Co-Chairman, Vice-Chairman At Large, Secretary, Treasurer, Auditor, Assistant Secretary, Assistant Treasurer and the Regional Vice-Chairmen. Before proceeding to vote for each office, nominations shall be closed for that office.
Section 4 – A majority of all votes cast shall be necessary for the election of each officer. In the event that a ballot does not result in a majority for any nominee, for any office, there should be further ballots until one (1) nominee shall receive a majority of all votes cast; provided however, prior to the fourth (4th) ballot, the nominee having the lowest number of votes on the immediately preceding ballot shall be dropped from the next ballot, and similar procedure shall followed on

each succeeding ballot so long as more than two (2) nominees remain. Nominations shall not be re opened during votes except by two-thirds (2/3) vote of the Convention.
ARTICLE XI – COMMITTEES
Section 1 – The YRNF Standing Committees shall be;
a) Audit – Shall perform an annual audit of all YRNF funds for the preceding fiscal year to be presented to the National Committee at the first meeting of the new fiscal year.
b) Campaign – Shall make recommendations as to which states the YRNF should target. Shall set guidelines for State Young Republican Organizations to make proposals for targeted efforts. Shall review previous targeted efforts to improve future performance.
c) Communications and Public Relations – Shall make recommendations that will help establish effective communications within the National Committee, to the State Organizations, and to the general public. Shall develop a marketing strategy to enhance the visibility of the Young Republicans.
d) Constitution and Bylaws – Shall serve as the Convention Bylaws Committee. Shall propose amendments to the YRNF Constitution and Bylaws when needed. Shall ensure that no state organization’s governing documents violate the YRNF Constitution and Bylaws. Shall make recommendations on proposed amendments to the YRNF Constitution and Bylaws. May not preclude the consideration of proposed amendments.
e) Education – Shall oversee training programs, including the development of a training curriculum, qualification of trainers, and maintenance of training databases. Shall coordinate training within the states. Shall prepare media for disseminating training materials as necessary.
f) Finance – Shall coordinate fundraising programs for the YRNF. Shall develop and implement a fundraising and finance plan to support YRNF programs and build revenue. Shall seek out prospective donors for the YRNF.
g) Information Technology – Shall make recommendations and oversee the technology the YRNF uses to communicate with its members and the public. All information and technology services must be approved by the National Committee.
h) International Youth – Shall make recommendations and oversee the YRNF’s relationship with youth political organizations and key individuals outside the United States, and to recommend how best to serve the needs of like-minded political parties outside the Unites States.
i) Membership Recruitment – Shall make recommendations as to the enhancement and development of the State Organizations. Shall develop programs and make recommendations to recruit new members into YRNF member organizations. Shall advise State and Local Young Republican Organizations on membership recruitment issues.
j) Outreach – Shall make recommendations and oversee the YRNF’s relationship with youth political organizations within the borders of the United States, that the YRNF should affiliate and work with. Shall make recommendations to encourage and increase participation of underrepresented constituencies within the YRNF and the Republican Party.

k) Oversight – Shall be comprised of the exact same membership as the Site Selection Committee. While the membership shall be identical, the Oversight Committee shall have a different chairman than the Site Selection Committee. Shall oversee the biennial convention and national committee meetings.
l) Policy – Shall make recommendations on major unique issues of national importance for the purpose of guiding debate from the perspective of Young Republicans.
m) Resolutions – Shall serve as the Convention Resolutions Committee. Shall make recommendations as to issues and resolutions the National Committee and the Convention should adopt. Shall make recommendations on all resolutions presented to the Convention or National Committee. May not preclude the consideration of proposed resolutions.
n) Site Selection – Shall be comprised of 5 members being chosen by the National Chairman with the approval of the National Committee. One member shall be chosen from each of the regions, with no two members from the same state. These appointments must be made prior to or during the first National Committee meeting held after the Convention or else the National Committee shall make appointments to the committee for those positions that have not been appointed or have become vacant. The committee shall be charged to make a recommendation to the national committee at the fall committee meeting in even numbered years for the convention that will occur in odd numbered year two years after the next odd numbered year.
o) State Chartering Committee – Shall consist of the Regional Directors and the YRNF Secretary. The Secretary shall serve as ex-officio Chairman. The National Chairman may designate any existing committee member to serve as the committee’s Co-Chairman. Shall evaluate all applications for the chartering of new state federations for compliance with Article I. Shall compile and maintain accurate information as to the identity of the Chairman, National Committeeman, and National Committeewoman of each state federation, as well as their mailing address, telephone number, electronic mail address, and date of birth, and shall promptly report the same, and any changes thereto to the Secretary. Shall publish this information to the National Committee as part of its report at each regularly-scheduled National Committee meeting.
p) Young Republican Leadership Conference
i. To advise the Chairman on the development and enhancement of the Young Republican Leadership Conference (YRLC), and to oversee the development of its program and the expansion of its participants. The Leadership Conference shall be held in the city of the Washington, D.C unless the Young Republican National Committee votes to hold it in different location.
ii. The YRLC shall be held biennially, during non-convention years as defined in Article IX – Conventions.
Section 2 – The YRNF Standing Committees shall work to collect informational resources relates to their subject area for the YRNF in order to provide the State Young Republican organizations with the resources they may request or require.
Section 3 – The Site Selection Process for the biennial Convention as defined in Article IX – Conventions, shall be subject to all of the following requirements:
a) The committee will meet and send out Bid Specifications and Intention to Bid Forms to the Chairman and Secretary of each duly chartered state federation by November 30 of

each odd-numbered years. The bid specifications shall be approved by the National Committee at the Fall Board meeting in odd numbered years.
b) Each State will have until February 1 of the even-numbered years to submit the Intention to Bid Form, to the Committee Chairman. Proof of delivery is encouraged, but not required.
c) The committee will meet with the representatives of the States which properly complied with paragraph (b) at the Winter Committee Meeting in even-numbered years and establish a schedule for on-site visits by the committee.
d) Each State completing the Site Selection Process shall submit a report showing their expected expenditures and income throughout the Process as a part of their Final Presentation as defined in paragraph (e).
e) The committee shall meet and review the Final Presentations, Bid Documents and Finance Reports at the Fall Committee Meeting in even-numbered years and make a recommendation to the National Committee pursuant to paragraph (n) of Section 1.
f) The committee shall take into account the following criteria before delivering their recommendation:
i. The stability of the State and Host Committee based on YRNF guidelines for annual chartering.
ii. Compliance with the Bid Specifications, this Section, and any pertinent YRNF By-Laws.
iii. The strength of the relationship between the State and Host Committee and both their Senior Party and elected Republican officeholders.
g) Upon completion of the Process, the committee shall review the criteria and assign points to each State in accordance with the following methodology: 3 points = Excellent, 2 points = average, 1 point = poor.
i. The committee may include any criterion they deem appropriate as long as it is reasonably related to the Bid Specifications.
ii. The committee may not fail to assign points to the criteria included in paragraph (f).
iii. Any committee member who fails to attend all on-site visits may not assign points to any criterion.
h) The committee shall recommend, pursuant to paragraph (n) of Section 1, the State receiving the most points, as calculated pursuant to paragraph (g), to the National Committee. In the event that two or more States receive the same number of points, the committee may recommend one or more of all of the States to the National Committee. All States receiving the same number of points must be reported by the committee to the National Committee, regardless of the recommendation.
i. The Site Selection Committee shall award the convention. However, the National Committee may by two-thirds (2/3) vote reject the committee’s recommendation. In the event of such rejection, a majority of the National Committee may accept a minority report from the committee. The YR state federation making the bid is

awarded the bid and it is responsible and liable for execution of the YRNF Convention. The Executive Committee shall select and approve speakers and the agenda with the help of the Host state.
ii. The National Committee may reject both the recommendation and the minority report of the committee, but in no instance may they select a State to host the Convention that has not complied with all of the requirements of this Section.
iii. If the National Committee rejects all of the States that have complied with this Section, the Chairman of the YRNF shall dissolve the committee, appoint a three-member panel to review the committee’s work and receive a recommendation as to a Convention site. The YRNF Chairman will announce the Convention site no later than the Winter Meeting in the immediately subsequent odd-numbered year. The site shall be at the sole discretion of the Chairman based on the recommendation of the panel. The site need not be in a State that participated in the Site Selection Process.
ARTICLE XII – STATE CHAIRMAN’S ASSOCIATION
Section 1 – There shall be established a State Chairman’s Association, comprised of all of the fifty (50) states and those territories which are duly recognized and chartered by the YRNF. The purpose of this informal Association shall be to share information amongst the state chairman and the YRNF office and national officers.
Section 2 – Election of the Chairman: The chairman of the State Chairman’s Association shall be elected from the members of the Association; nominations for the chairman shall be received from the floor of the Association and shall be considered valid only if the candidate is nominated by the support of three (3) other members of the Association.
Section 3 – The State Chairman’s Association is authorized to draft supplemental rules which shall govern its operations and activities, including its elections. Said rules shall not conflict with the YRNF Constitution or these By-laws and must be adopted by the Young Republican National Committee to become effective.
ARTICLE XIII – AUXILIARY ORGANIZATIONS
The National Committee may, by a majority vote, recognize certain auxiliary organizations comprised of current and former members of the YRNF, including but not limited to alumni groups and professional organizations.
ARTICLE XIV – FINANCES AND ACCOUNTING
Section 1 – The fiscal term of the YRNF shall begin on January 1st of each year and end on December 31st of the same year.
Section 2 – The Young Republican Executive Committee shall cause an efficient double entry system of accounts to be installed and maintained.
Section 3 – The Young Republican National Committee shall adopt a budget, making appropriations therein for each fiscal term. Each budget shall specify the purpose and the amount of each appropriation, and include a statement of the estimated revenues.
Section 4 – The Executive Committee may re-appropriate funds within the budget so long as no line item is changed more than 10 percent. A change of more than 10 percent may be approved by a majority vote of the National Committee.

Section 5 – All disbursements shall be made by check or other commonly accepted disbursement practice that provides for accountability.
Section 6 – The funds received in accordance with Section 9 of Article I – Application for Chartering State Young Republican Organizations shall be used solely for the purpose of communicating with the chartered states and their members.
Section 7 – The Young Republican National Committee shall designate the depository of all funds of the YRNF. Such depository shall be approved by the Young Republican National Committee.
ARTICLE XV – FISCAL STANDING
Section 1 – Voting Privileges for members of the National Committee may be suspended if the member is delinquent in their financial obligations to the YRNF or its contracted agents, including but not limited to individual fines or those fines incurred by a state organization.
Section 2 – The YRNF may take addition al action against delinquent parties within the YRNF in accordance with the procedures established by Article XVII – Dispute Resolution Procedure.
ARTICLE XVI – RESOLUTIONS
Section 1 – Courtesy of Honorary Resolutions may be submitted at any time to the Resolutions Committee for recommendation to the Convention or National Committee.
Section 2 – Resolutions that resolve the YRNF to take a policy position or make a policy statement must be submitted at least forty-five (45) days prior to the meeting at which the resolution is to be considered.
Section 3 – Notice of such policy resolutions shall be sent to the National Committee at least thirty (30) days prior to the meeting at which the resolution is to be considered.
Section 4 – Excluding the types of resolutions previously mentioned in this Article, any motion submitted in the form of a resolution may be considered by the Convention or National Committee at any time.
ARTICLE XVII – DISPUTE RESOLUTION PROCEDURE
Section 1 – Any dispute over the identity of any officer, outcome or validity of any election, or matter pertaining to any constitutional provision or by-law, of the YRNF or of any State Federation of the YRNF, shall be resolved in accordance with the following dispute resolution procedure:
a) Any party to such a dispute may initiate proceedings under this Article by filing a written complaint with the YRNF Chairman by delivering such complaint to the YRNF headquarters. Any such complaint must be postmarked no later than thirty (30) days following the incident, election, or other event from which the dispute arises.
b) If the dispute pertains to the YRNF Chairman, the complaint shall be filed with the Chairman of the State Chairman’s Association by delivering such complaint to such Chairman’s home address of record. Any such complaint must be postmarked no later than thirty (30) days following the incident, election, or other event from which the dispute arises. A copy of any such complaint shall be delivered, in the same manner, to the YRNF headquarters.

c) No later than fourteen (14) days following receipt of any complaint filed in accordance with this article, the YRNF Chairman (or Co-Chairman in a dispute involving the Chairman) shall appoint a Committee to investigate the dispute and make a final decision. The Committee shall be composed of five (5) members; two (2) of which shall be appointed pursuant to a recommendation by the Complainant, and two (2) of which shall be appointed pursuant to a recommendation by the Respondent (or Respondents collectively). The fifth member shall be appointed by the other four members, acting jointly, within fourteen (14) days following the date on which the last of such members is appointed. If the four members do not agree on a fifth member with such time, the YRNF Chairman shall immediately appoint the Chairman of the State Chairman’s Association as the fifth member, unless the Chairman of the State Chairman’s Association is a party to the dispute, in which case the YRNF Chairman shall appoint the immediate Past Chairman of the State Chairman’s Association; if the immediate Past Chairman of the State Chairman’s Association is no longer an active member of a duly chartered Young Republican organization, the YRNF Chairman shall appoint any current YRNF Officer.
d) The five (5) members of a Committee appointed pursuant to subsection (c) shall select by majority vote, within five days of the date on which the last of the Committee members is appointed, a Chairman of the Committee, who shall preside at all meetings of the Committee, based on a majority vote of the Committee. Within five (5) days of appointment, the Chairman shall send notice, by certified mail, to the members of the Committee of a hearing to be held by the Committee within thirty (30) days of such notice. Any such hearing shall be held within the state in which the dispute arose, or within the District of Columbia if the dispute involves the YRNF or any Officer thereof, as determined by the YRNF Chairman if the complaint was filed pursuant to subsection (a). A majority of the members of the Committee shall constitute a quorum for the purposes of conducting the hearing.
e) At any hearing held pursuant to subsection (d), all parties to the dispute shall be permitted to appear before the Committee and present evidence, including oral and written testimony, in accordance with procedures approved by a majority of the members of the Committee. Audio or video recordings of any such hearing shall be permitted at the request of any party to the dispute, and shall be made a part of the hearing record. The Chairman of the Committee shall designate a member of the Committee to take minutes of the hearing and to preserve all evidence presented, which shall be included in the hearing record. The entire hearing record shall be made available to any Member of the Committee no later than thirty (30) days following a request therefore.
f) The Committee shall issue a final decision, in writing, and shall send such a decision to all parties to the dispute and to the YRNF Chairman (or Co-Chairman in a dispute involving the Chairman), no later than sixty (60) days following the conclusion of the hearing. A dissenting opinion, in whole or in part, may be issued by a minority of the members of the Committee. A final decision of a Committee appointed in accordance with this Article shall be binding on all parties unless appealed in accordance with subsection (g).
g) Any party to a dispute aggrieved by a final decision may appeal such final decision, in whole or in part, by filing a written appeal with the YRNF Chairman by delivering such appeal to the YRNF headquarters. Any such appeal must be postmarked no later than thirty (30) days following the date on which the final decision is issued. An appeal of a final decision relating to a dispute involving the YRNF or any Officer thereof shall be decided by majority vote of the Young Republican National Committee at the next duly called meeting thereof. An appeal of a final decision relating to a dispute involving an individual state shall be decided by majority vote of the members of the State Chairman’s Association at the next duly called meeting thereof, in the absence of al quorum of the

State Chairman’s Association, the Young Republican National Committee, provided it meets quorum, may vote in place of the State Chairman’s Association.
Section 2 – No later than thirty (30) days following a decision of the Young Republican National Committee or the State Chairman’s Association as the case may be with respect to an appeal under Section 1(g), or upon failure to appoint a Committee under Section 1 (c), failure to conduct a hearing under Section 1 (d) and (e), failure to issue a final decision under Section 1 (f), or failure to decide an appeal under Section 1 (g), within the time periods specified in those sections, any party to the dispute may request arbitration by the American Arbitration Association (hereinafter “AAA”) under the rules of the AAA. The hearing record shall be made available to the AAA. In such arbitration the losing party, as determined by the AAA, shall be responsible for all cost imposed by the AAA, unless otherwise determined by the AAA. Any final decision, or ruling, of the AAA shall be binding on all parties and enforceable in any Court of competent jurisdiction within the state involved, or the District of Columbia if the dispute involves only the YRNF. The
party initiating arbitration shall be responsible for making an initial deposit in an amount required to initiate proceedings by the AAA, but all parties shall be required to share equally in the incremental costs imposed by the AAA unless otherwise determined by the AAA.
Section 3 – All officers of the YRNF, members of the Young Republican National Committee and all officers of the State Federations of the YRNF, as a condition of accepting and holding office, elected or appointed, in their respective organizations, agree to be bound by these provisions and any officer, elected or appointed, refusing to participate in such proceedings or to accept the result of any final decision arising in accordance with these provisions shall automatically forfeit any office or claim to such office in the YRNF and any State Federation of the YRNF.
Section 4 – Until a pending dispute is finally resolved in accordance with the procedures established by this Article, any Committee on Credentials appointed in accordance with Article IX, Section 5 of these By-Laws, shall give due deference to the presumption in favor of any State Federation of the YRNF and the officers thereof as duly recognized at the preceding YRNF Convention convened in accordance with the provisions of the Constitution and By-Laws of the YRNF, but may take into consideration the outcome of any relevant dispute which has been finally resolved in accordance with the procedures established by this Article subsequent to the preceding YRNF convention.
